4. Client responsibilities

- Delays in content, access, approvals, or required information can affect delivery timing and may require project schedules to be revised.
- Clients are responsible for ensuring they have the right to supply any content, trademarks, assets, data, or credentials shared for project use.
- Clients should review deliverables, feedback requests, and approval checkpoints within reasonable timeframes so delivery can continue as planned.
5. Fees, invoicing, and payment terms
Fees, deposits, milestone structures, retainers, and payment due dates are typically set out in the relevant quote, proposal, statement of work, or invoice.
- Unless otherwise agreed in writing, invoices are due within the period stated on the invoice.
- Late payment may delay delivery, pause support, or suspend access to work that depends on active commercial approval or hosting-related continuity.

6. Intellectual property

- Drafts, concepts, and unpaid work remain the property of Arthkaira unless otherwise agreed.
- Clients retain rights to their own pre-existing brand assets, content, and materials they supply to the project, subject to any licensed third-party elements involved.
- Where third-party tools, stock assets, fonts, plugins, or licensed services are used, rights may remain subject to those third-party license terms.
7. Third-party platforms and dependencies
Many services depend on third-party platforms such as advertising systems, CMS platforms, CRMs, cloud providers, app stores, domain registrars, analytics tools, social networks, and APIs.
- Arthkaira is not responsible for outages, policy changes, pricing updates, access restrictions, suspensions, or technical changes imposed by third-party providers.
- Where platform credentials or accounts are client-owned, the client remains responsible for maintaining access, approvals, billing continuity, and compliance with that platform.
- Recommendations may be made to reduce third-party risk, but final operational control of external platforms may remain outside Arthkaira.
8. Confidentiality and privacy

- Clients should avoid sharing unnecessary sensitive data unless it is clearly required for service delivery.

9. Warranties and limitation of liability
Arthkaira provides services with reasonable skill and care, but does not guarantee uninterrupted performance, specific commercial outcomes, search rankings, platform approval decisions, or results controlled by external systems, markets, or user behaviour.
To the maximum extent permitted by law, Arthkaira will not be liable for indirect, incidental, special, or consequential loss arising from website use, service delays, third-party failures, data issues, or commercial decisions made from project outputs.
- Clients remain responsible for final business, legal, regulatory, and commercial decisions made using deliverables, recommendations, or reporting.
- Where a claim is permitted by law, liability should generally be limited to the fees paid for the specific service giving rise to that claim, unless a separate written agreement states otherwise.
10. Suspension, cancellation, and termination
Either party may suspend or terminate a project or service relationship where allowed by the relevant proposal, agreement, or applicable law. Arthkaira may also pause work where invoices are overdue, access is withheld, or project conditions prevent reasonable delivery.
- Completed work, time already spent, third-party costs, and approved milestones may still be chargeable up to the effective date of suspension or termination.

11. Changes to these terms
